Terms of Use
The terms for using Kliff.
These terms are an agreement between you and Bluebik Nexus Company Limited ("Bluebik Nexus", "we", or "us"). They cover your use of the Kliff website, web app, desktop app, and API (the "service").
By creating an account or using the service, you agree to these terms. If you use the service for an organization, you agree to them on its behalf and confirm you have authority to do so. If you do not agree, do not use the service.
Our Privacy Policy explains how we handle personal information. If your organization signed a separate agreement with us, such as an Enterprise order form, that agreement wins where it conflicts with these terms.
Who can use Kliff
You must be at least 16 years old, and old enough to form a binding contract where you live. You may not use the service if the law prohibits it, or if we previously closed your account for breaking these terms.
Your account
- Give accurate information and keep it up to date.
- Keep your sign-in methods secure, including your email inbox, passkeys, and two-factor backup codes. You are responsible for what happens under your account.
- Tell us through the contact page right away if you think someone else is using your account.
- An account is for one person. Do not share it.
Organizations
Work in Kliff belongs to an organization. Each account has a personal organization, and you can create a team organization by subscribing to a team plan.
- Owners and admins invite and remove members, manage billing, buy credits, and install the GitHub App. They are responsible for who has access and for the organization's payments.
- Members can see the organization's projects, agents, runs, and member list.
- Shared work stays with the team. The agents, conversations, and runs you create in a team organization are part of its shared work. If you leave or delete your account, they stay with the organization, as described in the Privacy Policy.
What the service does
Kliff runs AI agents, runs, and automations against your repositories and the services you connect. Each one works in its own cloud computer, can read and change code, run commands, and act through your connectors.
The service has limits on things like run length, message size, attachments, and how many runs an organization can have going at once. We describe them in the help center. We may change these limits, and we may add, change, or remove features. If a change takes away a significant part of a paid plan, we will tell you in advance.
AI output and your review
Agents and automations use AI models, which can make mistakes. Output can be incorrect, incomplete, insecure, or similar to code written by others.
- Review before you rely on it. You are responsible for checking code, comments, and messages before you merge, deploy, send, or act on them. Nexus Review only comments on pull requests and never approves them, and Nexus Implement opens draft pull requests. Merging stays with your team.
- Actions through connectors are yours. When an agent uses a connector, it acts as you. For example, a Slack connector posts as you. Only allow the tools you are comfortable with.
- Do not present AI output as human work where the law or the context requires you to say it was produced with AI.
Connected services and AI providers
You can connect GitHub, Gmail, Slack, custom MCP servers, and other services. Your use of each is governed by that service's own terms. By connecting one, you allow us to access it on your behalf within the permissions you grant, and you confirm you have the right to give that access, including to repositories and data owned by others.
AI models from Anthropic, Cloudflare Workers AI, and xAI process your content to produce results. If you supply your own xAI API key, runs that use it are billed by xAI to you under xAI's terms, and do not use Kliff credits.
We are not responsible for third-party services, their availability, or changes they make that affect the service.
Your content
Your content means the instructions, messages, files, code, settings, and secrets you give the service, and the output the service produces for you.
- You own your content. We do not claim ownership of it.
- You give us permission to use it to run the service. That means a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display your content, and to send it to the providers named in the Privacy Policy, only as needed to provide, secure, support, and fix the service for you. This license ends when your content is deleted, except for copies we must keep by law or in backups that expire on their normal schedule.
- You are responsible for your content. You confirm you have the rights to use it and that it does not break these terms or the law.
Acceptable use
Do not use the service to:
- Break the law, or infringe or misappropriate anyone's intellectual property or privacy.
- Build, distribute, or run malware, or attack, probe, or scan systems you are not authorized to test.
- Send spam, or post or send content that harasses, threatens, or deceives people.
- Access repositories, accounts, or data you are not authorized to access.
- Mine cryptocurrency, or use run computers for work unrelated to your software projects, such as hosting a public service or proxying traffic.
- Get around limits, credit charges, access controls, or security features, including by creating accounts to collect free credits.
- Overload or disrupt the service, or use it in a way that harms other customers.
- Copy, reverse engineer, or resell the service, or use it to build a competing product, except where the law allows it.
- Break the usage policies of the AI providers we use.
We may stop a run, pause an automation, or turn off runs for an organization to stop harm or abuse while we look into it.
Plans, credits, and payment
Current plans and prices are on the pricing page. Prices are in US dollars, and taxes may apply.
Subscriptions
- Paid plans renew monthly and charge the card on file at the start of each period, until you cancel.
- Team plans are charged per member. When members join or leave, Stripe adjusts the charge for the rest of the period.
- If a payment fails, or a subscription is past due or canceled, a team organization cannot start new work until the plan is active again.
Credits
Agents and runs use credits based on the AI model's list price for the tokens used.
- Weekly credits come with your plan and refill every 7 days. Unused weekly credits expire at the end of the week.
- Extra credits are prepaid credits you buy separately. They do not expire while the organization exists. They are used after weekly credits run out.
- When credits run out, new agent turns and runs wait until credits refill or you buy more.
- Auto top-up, if you turn it on, allows us to charge your saved card the amount you choose whenever the balance falls below your threshold, up to any monthly limit you set. If a charge is declined, auto top-up turns off.
- Credits have no cash value, cannot be transferred between organizations, and cannot be exchanged for money.
Cancellation and refunds
You can cancel a paid plan at any time from billing settings. Your plan stays active until the end of the period you paid for and then does not renew.
Fees and credits are non-refundable, except where the law requires a refund.
If you delete your account, any organization deleted with it loses its subscription and unused credits right away, without a refund for unused time.
Price changes
We may change prices. We will tell you at least 30 days before a price change applies to your subscription, and you can cancel before it takes effect.
Suspension and termination
You can stop using the service at any time and delete your account in Settings > Account.
We may suspend or close your account or organization if you break these terms, do not pay, create a risk to the service or other people, or if the law requires it. Where reasonable, we will tell you first and give you a chance to fix the problem. If we close a paid account without cause, we will refund prepaid fees for the unused part of the period.
When your access ends, these sections continue to apply: Your content (for content we keep by law), Plans, credits, and payment (for amounts owed), Our property, Disclaimers, Limitation of liability, Indemnity, and Governing law and disputes.
Our property
The service, including its software, design, and brand, belongs to us and our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service while you follow them. They do not give you any right to our trademarks.
If you send us feedback or ideas, we may use them without any obligation to you.
Disclaimers
The service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the service or its output will be accurate, uninterrupted, secure, or free of errors.
Limitation of liability
To the extent the law allows:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
- Our total liability for all claims about the service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or 100 US dollars.
These limits do not apply to liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
Indemnity
If you use the service for a business, you will defend and compensate us against third-party claims arising from your content, your use of connected services, or your breach of these terms or the law.
Governing law and disputes
These terms are governed by the laws of Thailand. The courts of Bangkok, Thailand, have exclusive jurisdiction over disputes about them or the service.
If you are a consumer, you keep any protections that the law where you live gives you and that cannot be waived by contract, including the right to bring a claim in your local courts.
Before going to court, contact us so we can try to resolve the dispute informally.
Changes to these terms
We will update the date at the top of this page when we change these terms. If a change materially affects your rights, we will notify you by email or in the app at least 30 days before it takes effect. If you keep using the service after that, you accept the new terms. If you do not agree, stop using the service and delete your account.
General
- Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about the service.
- Assignment. You may not transfer these terms without our consent. We may transfer them in a merger, acquisition, or sale of assets.
- Severability. If part of these terms cannot be enforced, the rest still applies.
- No waiver. Not enforcing a term right away does not mean we give up the right to enforce it later.
- Events outside our control. We are not responsible for delays or failures caused by events we cannot reasonably control.
